Bright Harbour advises Eaton Gate on its agreed sale to DOXA

April 2026 | Announcement

Eaton Gate, a leading independent MGU platform in the UK, and DOXA jointly announce that they have signed an agreement under which DOXA, a US-based specialty insurance company, will acquire Eaton Gate.

Bright Harbour Advisory is acting as financial adviser to Eaton Gate, having previously advised the business on raising growth equity from Magenta Partners and debt from Investec.

Eaton Gate is an independent MGU focused on the UK Commercial SME and Mid Net Worth Home insurance segments, distributed through broker partners and underwriting on behalf of a panel of well rated insurers.  Eaton Gate is led by Co‑Founder and CEO Jonathan Matthews, following former Chairman and Co‑Founder Gary Burke’s step back from day‑to‑day responsibilities.

The acquisition will mark the first step in DOXA’s international expansion, with Eaton Gate creating a platform to accelerate DOXA’s next phase of growth across the UK and ultimately into Europe.

The transaction represents a full exit for Magenta, the family office shareholder, and for Co‑Founder Gary Burke. Transaction completion is subject to customary closing conditions including regulatory approvals and is expected to complete in Q3 2026.

Reflecting on working with Bright Harbour, Jonathan Matthews, CEO, stated “Having worked with Eleanor on multiple transactions, we knew we were in safe hands.  Her calm, pragmatic approach gave us confidence throughout.  Her dedication and responsiveness were outstanding.”

Co-Founder Gary Burke added “Eleanor, as ever, acted as a true partner during our transaction, not just an adviser.  Her understanding of our business combined with experience in navigating deal complexity have helped us achieve the right result for all.”

Eleanor Wilkinson, Partner at Bright Harbour commented, “It has been a privilege to support Eaton Gate from inception through equity and debt raises to its ultimate exit to a strategic buyer.  Helping entrepreneurs realise a return on the immense risk and effort it takes to build a business is always rewarding.  DOXA has secured a great management team to drive its international growth for which I wish them every success.”
